Terms of Service

Last updated October 31, 2026 ยท SocioTik LLC

Effective October 31, 2026. These terms apply to the sociotik.com website and to every service provided by SocioTik LLC, a [STATE] limited liability company (“SocioTik”, “we”, “us”) to a client (“you”). Each engagement also has a written proposal. If the proposal and these terms conflict, the proposal wins for that engagement.

1. The website

The website and its articles, calculator and checklist are general information, not legal, tax or financial advice. TikTok Shop rules change often, so check current rules in Seller Center before acting. Case studies and screenshots are real results from past work, with brand names hidden. Past results do not promise future results.

You must be at least 18 and authorised to act for your business to book a profit check or sign a proposal.

Calculator results are estimates for planning only. You may not copy our content for commercial use, scrape the site or misuse our forms.

SocioTik is an independent company and is not affiliated with, endorsed by or sponsored by TikTok or ByteDance. TikTok is a trademark of its owner.

2. The free profit check

The profit check is free and creates no obligation on either side. The verdict and 90-day plan are our professional opinion based on the information you give us. You may use the plan with or without us.

3. Our services

We provide the services described in your proposal, which may include TikTok Shop management, creator programs, content and LIVE, GMV Max management, audits, compliance support and research. We will:

  • Agree goals and milestones with you in writing before work starts.
  • Report to you every week on the numbers agreed in the proposal.
  • Work inside the access and permissions you give us, using our own logins, never shared credentials.
  • Keep your shop and accounts separate from other clients’ accounts.

4. Your responsibilities

  • Give us timely access to Seller Center, ad accounts and the information we need.
  • Make sure your products, labels and listings are lawful and safe, and that you hold evidence for every product claim you approve.
  • Approve claims, offers and prices before they go live, and keep enough stock for agreed campaigns.
  • Pay directly, from your own accounts, for product samples, creator fees and commissions, ad spend, platform fees, shipping and any tools bought for your shop. These are not included in our fees.

5. Fees and payment

  • Our monthly retainer is invoiced in advance at the start of each service month.
  • Any performance fee, such as a percentage of GMV or a milestone bonus, is set out in your proposal, including how it is measured and when it is billed.
  • Payment due dates are set in your proposal. If an invoice is unpaid when due, we may pause work until it is paid.
  • Fees exclude taxes, which you pay where they apply.
  • If you question a charge, email us first and give us 15 business days to resolve it before raising a dispute or chargeback with your bank or card provider.

6. Term, notice and no refunds

  • Engagements run month to month. Either side can end the engagement with 30 days’ written notice by email.
  • Fees already paid are non-refundable, including for any notice period.
  • Either side may end the engagement immediately if the other seriously breaches these terms and does not fix it within 7 days of written notice.
  • When the engagement ends, we hand back or remove our access, transfer the assets listed in section 7, and give you a final report.
  • Sections 5, 7, 10, 11 and 12 continue to apply after the engagement ends.

7. You own your shop, content and data

Your TikTok Shop, ad accounts, customer data, listings, content made for your brand, reports, dashboards and SOPs created for your shop belong to you. Creator relationships built for your shop stay with your shop.

We keep ownership of our general know-how, templates and methods, and of the SocioTik creator community itself. You receive a permanent licence to use any of our templates included in your deliverables for your own business.

With your permission, we may share anonymised results, with your brand name hidden, as case studies.

8. Platforms and results

TikTok and other platforms control their own algorithms, policies, fees, approvals and enforcement, including holds, restrictions and bans. We work to protect your account, but we are not responsible for platform decisions or changes outside our control.

Milestones are targets we commit to work towards, not guarantees of a specific sales figure. Results depend on your product, price, stock, margins and market.

9. Compliance

You are responsible for product compliance, including safety, labelling and claims rules such as FDA and FTC requirements. We brief creators to follow TikTok Shop rules and FTC disclosure rules and to use only claims you have approved, but we cannot control everything a creator says or does.

10. Confidentiality

We keep your business information, sales data and plans confidential and only use them to deliver our services to you.

11. Limitation of liability and indemnity

To the extent the law allows, neither side is liable for indirect or consequential losses, such as lost profits or lost data, and our total liability under an engagement is limited to the fees you paid us in the three months before the claim.

You will cover our reasonable losses from claims about your products, including product safety, labelling and the claims you approved for them.

12. General

  • These terms are governed by the laws of the State of [STATE], USA. Before starting any claim, either side must email the other and allow 30 days to resolve it in good faith. Unresolved disputes go to the courts of [STATE].
  • We are an independent contractor. Neither side can bind the other, and neither side may transfer an engagement without the other’s written consent, except as part of a sale of the business.
  • Neither side is responsible for delays caused by events outside its reasonable control, such as platform outages, natural disasters or government action.
  • Your proposal and these terms are the whole agreement for the engagement. Not enforcing a right does not waive it.
  • Copyright concerns about content on our website can be sent to Info@sociotik.com with details of the work and where it appears.
  • We may update these terms. The version in force when you sign a proposal applies to that engagement unless we both agree otherwise in writing.
  • If any part of these terms is unenforceable, the rest still applies.
